Terms of Service

These Terms of Service (or "Terms") are a binding contract between you and Keyra, our AI phone receptionist technology and related services ("Keyra," "us" or "we") and you as the subscribing business or individual ("Subscriber" or "you"). Any capitalized terms used herein without defining them have the definitions given in our Privacy Policy.

THESE TERMS INCLUDE A CLASS ACTION WAIVER AND AN ARBITRATION PROVISION THAT GOVERNS ANY DISPUTES BETWEEN YOU AND KEYRA.

1. Eligibility & Acceptance

To be eligible to use the Services, you must (a) be at least 18 years of age; (b) reside in a jurisdiction where we offer our Services and where the use of our Services is lawful; and (c) represent that you have read, understood, and agree to be bound by the Terms. You may not use the Services if you have previously been suspended or removed from any of our Services. By using the Services, you represent and warrant that you meet all the foregoing eligibility requirements. If you do not meet these eligibility requirements or if you do not agree to these Terms, you may not use the Services.

By accessing or using any of our Services, you agree to be unconditionally bound by these Terms. Where the option is made available to you, you may accept the Terms by your statement or by clicking to accept or agree to the Terms over the phone or in any agreement, electronic form, or on the Services. You must be of legal age and capacity to form a binding contract to accept the Terms. If you do not agree with any of these Terms, do not use our Services. If you are using or accessing the Services on behalf of a company or other entity ("Entity"), you represent, agree, and warrant that you are authorized to act on behalf of the Entity and to bind such Entity to these Terms. ACCEPTANCE OF THESE TERMS IS REQUIRED FOR USE OF THE SERVICES AND ANY USE OF THE SERVICES SHALL CONSTITUTE YOUR ACCEPTANCE OF THESE TERMS.

2. The Services

a. Our Services

Keyra offers the following Services: (i) our AI phone receptionist to answer your calls, qualify leads, and take messages for you ("AI Receptionist"); (ii) a dashboard, software and applications (collectively, the "Application") integrated with the existing systems of the Subscriber; (iii) keyra.io and other websites or online channels we own or operate (collectively, the "Site") (altogether, with the Site and Application, the "Services"). The Services will create an audio recording of each call between callers to your business (your "Callers") and the AI Receptionist ("Recordings") and will generate transcripts of such Recordings ("Transcripts"). Recordings and Transcripts are posted to your Account and available to you on your Dashboard. You will receive the Services at your subscribed-to Services level as described on the Site and subject to these Terms.

b. Registration

To become a Subscriber, you must first register with Keyra, create an account on the Services (your "Account"), and select an available Subscription level. You must always maintain a valid email address and phone number on your account. Some Services may not be available to you; we will explain which Services are available to you during the sign-up process. You represent and warrant that: (i) you will maintain the accuracy of all data associated with your Account; (ii) you will not do anything that might jeopardize the security of your Account; and (iii) you will notify us immediately of any unauthorized access to or use of your login credentials or any other breach of security. You are responsible for maintaining the confidentiality of your login credentials, and you are responsible for all activities that occur using your login credentials or Account. Keyra reserves the right to disable your login credentials, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

c. Google Registration

If you choose to register using Google authentication, Keyra's use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.

d. Telephone Numbers

When you subscribe, we will host your established telephone number or assign you a forwarding telephone number through our phone service provider. Keyra reserves the right to release or reassign any telephone numbers not ported back within three months after termination of the applicable subscription. You are responsible for configuring call forwarding from your existing phone number to the Keyra-assigned number, and Keyra shall have no liability for any issues arising from your call forwarding configuration.

e. Recordings and Transcripts

You understand and agree that the Services include creation of Recordings and Transcripts of calls with your Callers for your reference and business use and to allow Keyra to monitor quality, improve performance of our Services, and for training purposes. Call recording and monitoring practices are subject to various federal, state, and local laws and limitations. You are solely responsible for your use of the Recordings and Transcripts features in compliance with applicable law. This includes, without limitation, ensuring compliance with two-party consent laws, one-party consent laws, and any applicable notice requirements in your jurisdiction. You agree that Keyra shall have no liability whatsoever to you, your Callers, or any other party related to Recordings or Transcripts generated from calls with your Callers. Personal Information processed for such purposes will be treated in accordance with our Privacy Policy. You agree that Keyra creates Recordings and Transcripts as part of our provision of the Services to you and that you are ultimately responsible for such Recordings and Transcripts being created from your Callers' calls and any and all use thereof.

f. SMS Features

Keyra offers features to the Services that allow your AI Receptionist to automatically send SMS messages to your phone number with summaries and information related to calls ("SMS Features"). These SMS messages include call summaries, caller information, lead qualification details, and other transactional information about calls handled by the AI Receptionist. Keyra does not and cannot control the content of messages sent through third-party platforms that may be referenced in SMS messages. The SMS Features are designed to provide you with instant notifications about calls handled by the AI Receptionist. You understand that SMS delivery is subject to the reliability and availability of third-party SMS service providers and may occasionally be delayed or fail to deliver. Keyra will use commercially reasonable efforts to ensure SMS delivery but makes no guarantees regarding the timely or successful delivery of SMS messages.

g. AI Features

Keyra provides you with certain features of the Services through artificial intelligence, machine learning, or similar technologies ("AI Technology") made available by third-party providers, including but not limited to OpenAI, Deepgram, ElevenLabs, PlayHT, and VAPI. The AI Technology processes conversations, generates responses, qualifies leads, classifies calls, and creates summaries. The AI Technology may occasionally produce inaccurate, incomplete, or inappropriate responses. You understand and agree that: (i) the AI Technology is not perfect and may make errors; (ii) you are responsible for reviewing all AI-generated content for accuracy and appropriateness; (iii) Keyra does not guarantee the accuracy, completeness, or appropriateness of any AI-generated content; and (iv) Keyra shall have no liability for any actions taken or decisions made based on AI-generated content. Keyra may update, modify, or change the AI Technology providers or models at any time without notice to improve service quality or functionality.

3. Subscriptions and Payments

a. Subscription Plans

Keyra offers subscription plans with different features, call limits, and pricing as described on our pricing page. Subscription plans may include a free trial period. You select your subscription plan during registration or through your Account settings. We reserve the right to modify our subscription plans, features, or pricing at any time, with changes taking effect at the beginning of your next billing cycle. We will provide notice of material changes to your subscription plan or pricing via email or through your Account.

b. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are non-refundable except as required by law or as expressly stated in these Terms. You agree to pay all fees associated with your subscription using a valid payment method. By providing a payment method, you authorize us to charge that payment method for all fees owed in connection with your subscription. If payment is not received by the due date, we may suspend or terminate your access to the Services.

c. Payment Processing

Payments are processed through Stripe, a third-party payment processor. Keyra does not collect, store, or process your payment information directly. By using the Services, you agree to be bound by Stripe's Terms of Service and Privacy Policy. You are responsible for ensuring that your payment method remains valid and that you have sufficient funds to cover subscription fees. Keyra shall have no liability for any issues arising from payment processing, including but not limited to payment failures, chargebacks, or disputes.

d. Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You may cancel your subscription at any time through your Account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Services until the end of your current billing period. No refunds will be provided for unused portions of your subscription period unless required by law.

e. Overage Fees

If your usage exceeds the call limits included in your subscription plan, we may charge overage fees or require you to upgrade to a higher-tier plan. Overage fees, if applicable, will be communicated to you in advance. You are responsible for monitoring your usage and managing your subscription plan accordingly.

4. Intellectual Property

The Services, including all content, features, functionality, and technology, are owned by Keyra or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission. Subject to your compliance with these Terms, Keyra grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes. This license does not include any right to resell or commercially use the Services or their content.

5. User Conduct and Restrictions

You agree not to use the Services: (a) for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Services; (b) to transmit any viruses, malware, or other harmful code; (c) to attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks; (d) to interfere with or disrupt the Services or servers or networks connected to the Services; (e) to use automated scripts, bots, or other automated means to access the Services; (f) to impersonate any person or entity or misrepresent your affiliation with any person or entity; (g) to violate any applicable local, state, national, or international law or regulation; or (h) to collect or store personal data about other users without their express permission. You are solely responsible for all activity that occurs under your Account, and you agree to notify us immediately of any unauthorized use of your Account.

6. Your Data and Privacy

You retain ownership of all data that you submit to the Services, including but not limited to business information, caller information, call recordings, transcripts, and other content ("Your Data"). By using the Services, you grant Keyra a worldwide, royalty-free, non-exclusive license to use, store, process, and transmit Your Data solely for the purpose of providing, improving, and maintaining the Services. You are responsible for ensuring that Your Data does not violate any third-party rights or applicable laws. Keyra will handle Your Data in accordance with our Privacy Policy. You acknowledge that Keyra uses third-party service providers to process and store data, and you consent to such processing and storage.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. KEYRA AND ITS SUPPLIERS DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. KEYRA DOES NOT WARRANT THAT THE AI RECEPTIONIST WILL ALWAYS PROVIDE ACCURATE INFORMATION, CORRECTLY QUALIFY LEADS, OR PERFORM AS EXPECTED. YOU USE THE SERVICES AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KEYRA, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYRA ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL KEYRA'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO KEYRA IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY.

9. Indemnification

You agree to defend, indemnify, and hold harmless Keyra, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that Your Data caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.

10. Termination

You may terminate your subscription and Account at any time by canceling your subscription through your Account settings or by contacting us. Keyra may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Dispute Resolution

a. Informal Resolution

You and Keyra agree that in the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the Services ("Dispute"), the parties shall first attempt to resolve the Dispute informally by contacting Keyra at our contact page. Keyra will contact you by email as part of a good faith effort to resolve the Dispute informally. If a Dispute is not resolved within 30 days after submission, you or Keyra may bring a formal proceeding.

b. Arbitration Agreement

You and Keyra each agree to resolve any Disputes through final and binding arbitration, except as set forth below. The arbitration will be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association ("AAA") or a similar arbitration service. The arbitration will be held in the United States in a location mutually agreed upon by the parties, or if no agreement is reached, in a location selected by the arbitrator. The AAA rules will govern payment of all arbitration fees. Notwithstanding the foregoing, either you or Keyra may assert claims, if they qualify, in small claims court. Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of our Services, or infringement of intellectual property rights (for example, trademark, trade secret, copyright, or patent rights) without first engaging in arbitration or the informal dispute resolution process described above.

c. Class Action Waiver

You may only resolve Disputes with Keyra on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed under these Terms.

d. Governing Law; Limitation on Claims

Except as otherwise required by applicable law, the Terms and the resolution of any Disputes shall be governed by and construed in accordance with the laws of the United States and the state in which Keyra is incorporated, without regard to its conflict of laws principles. Except as otherwise required by applicable law, if the agreement to arbitrate is found not to apply to you or your claim, you and Keyra agree that any judicial proceeding (other than small claims actions) will be brought in the federal or state courts having jurisdiction, and you and Keyra each agree to waive the right to a jury trial. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Services must be filed within one (1) year after such claim or cause of action arose, or else that claim or cause of action will be barred forever.

12. General Terms

a. Relationship of Parties

The parties' relationship, as established by these Terms, is solely that of independent contractors. These Terms do not create any partnership, joint venture, or similar business relationship between the parties. Neither party is a legal representative of the other party, and neither party can direct and control the day-to-day activities of the other, or assume or create any obligation, representation, warranty, or guarantee, express or implied, on behalf of the other party for any purpose whatsoever.

b. Geographic Restrictions

Keyra is owned and operated in the United States. The Services are primarily designed for use in the United States. Access to our Services may not be legal by certain persons or in certain jurisdictions. We make no claims that the Services or any other products or services or their content is accessible or appropriate outside of the United States. Keyra reserves the right to limit, in our sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

c. Responsibility for Legal Compliance

When using the Services, you agree to comply with all applicable laws, including, but not limited to privacy, intellectual property, ecommerce, export controls, and applicable laws governing privacy and data security and their requirements related to verifiable consent, parental consent, consumer privacy rights, recordkeeping, international data transfer laws and other requirements. Without limiting the foregoing, you represent and warrant that you hold, and will maintain throughout the Term, all required registrations and licenses necessary to use the Services in compliance with all laws and regulations applicable to your business activities. The Services do not include professional or legal compliance support of any kind. You are solely responsible for determining whether your use of the Services and the features and components thereof comply with applicable laws, including call recording laws, SMS marketing laws, and data protection laws.

d. Assignment

You may not assign, delegate, or transfer these Terms, by operation of law or otherwise, without our prior written consent, but Keyra may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the Parties, their successors, and permitted assigns.

e. Waiver; Severability

Keyra's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect to the greatest extent permitted by law.

f. Notices

Any notices or other communications provided under these Terms will be given to Keyra at our contact page and to you via email to the email address on your Account or by posting the notice to the Services.

g. Amendments

Keyra reserves the right to revise these Terms by updating this posting without prior notice. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes. If we make material changes to these Terms, we will notify you via email or through your Account.

h. Entire Agreement

Except as otherwise stated herein, these Terms and the agreements incorporated by reference herein constitute the entire and exclusive understanding and agreement between Keyra and you regarding the Services and supersede and replace all prior oral or written understandings or agreements between Keyra and you regarding the Services.

i. Enforcement

Keyra reserves the right, but is not required, to remove or disable your access to the Services, disable any login credentials or account, whether chosen by you or provided by us, remove Your Data at any time and without notice, and at our sole discretion, if we determine that your use of our Services is in any way objectionable or in violation of these Terms. We have the right to investigate violations of these Terms and any conduct that affects our Services, and in response may take any action we may deem appropriate.

j. Consent to Electronic Signature

By accessing or using the Services, typing your name into any of our electronic forms and indicating your acceptance or clicking a box, you consent to (a) us communicating with you electronically; (b) receiving all applications, notices, disclosures, and authorizations (collectively, "Records") from us electronically; and (c) entering into agreements and transactions using electronic Records and signatures. We will use electronic documents for all communications, agreements, disclosures, authorizations, and other documents necessary to provide you with the Services. Federal law treats electronic signatures as having the same legal force and effect as if they were signed on paper by hand, and online contracts have the same legal force as signing an equivalent paper contract in ink. You must have a web-enabled device, connection to the internet, an active email account, and the ability to receive and read PDF files to conduct business with us electronically. You are responsible for keeping your own Records. If you require assistance with your Records or if you wish to receive Records in paper format or to withdraw your consent to receiving electronic records from us, please contact us through our contact page. Agreements and transactions executed prior to this request will remain valid and enforceable.
